Dispute Resolution, Binding Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS.
A. Informal Dispute Resolution
Before filing a lawsuit or arbitration, you and Sova agree to first try to resolve any dispute informally.
To begin informal dispute resolution, the party raising the dispute must send a written notice describing the dispute, the relief requested, and contact information for the party. Notices to Sova must be sent to [email protected] with the subject line “Legal Dispute Notice.”
The parties agree to engage in good faith efforts to resolve the dispute for at least thirty (30) days after the notice is received. This informal dispute resolution process is a condition precedent to initiating arbitration or litigation, except for claims that qualify for small claims court or claims seeking emergency injunctive relief.
B. Agreement to Arbitrate
Except as provided below, you and Sova agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, any purchase, any pass, any venue interaction through the Service, or any relationship between you and Sova will be resolved by binding individual arbitration, rather than in court. This arbitration agreement is governed by the Federal Arbitration Act and is intended to be interpreted broadly. The arbitration will be administered by National Arbitration and Mediation (“NAM”) under its applicable rules and procedures for consumer disputes, except as modified by these Terms. If NAM is unavailable or unwilling to administer the arbitration, the parties will select another arbitration provider by agreement, or a court of competent jurisdiction will appoint one.
C. Arbitration Procedures
The arbitration will be conducted by a single neutral arbitrator.
Unless the arbitrator determines otherwise, arbitration may be conducted remotely by video, telephone, or written submissions. If an in-person hearing is required, it will take place in the county where you reside or another location agreed by the parties or ordered by the arbitrator. The arbitrator may award the same individual relief that a court could award, subject to these Terms. The arbitrator’s award may be entered in any court of competent jurisdiction. Each party is responsible for its own attorneys’ fees unless applicable law or the arbitration rules provide otherwise.
D. Small Claims Court
Either party may bring an individual claim in small claims court if the claim qualifies and remains in small claims court.
E. Injunctive and Intellectual Property Claims
Either party may bring claims in court for temporary or preliminary injunctive relief to prevent actual or threatened misuse of intellectual property, unauthorized access, security breaches, or other irreparable harm. Either party may also bring claims related to infringement or misappropriation of intellectual property rights in court.
F. Class Action and Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SOVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SOVA WAIVE ANY RIGHT TO A JURY TRIAL.
The arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding unless Sova expressly agrees in writing. If a court determines that the class action waiver is unenforceable as to a particular claim or request for relief, that claim or request for relief may proceed in court, but it will be severed and stayed pending arbitration of the remaining claims to the extent permitted by law.G. 30-Day Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days after you first accept these Terms. Your opt-out notice must include your name, email address associated with your account, and a clear statement that you want to opt out of the arbitration agreement. If you opt out, neither you nor Sova will be bound by this arbitration agreement, but the rest of these Terms will continue to apply.
23. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Sova and its officers, directors, employees, contractors, agents, affiliates, service providers, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your access to or use of the Service;
- Your violation of these Terms;
- Your violation of applicable law or third-party rights;
- Your account activity;
- Your purchases, pass use, pass redemption, or attempted redemption;
- Your interaction with any venue, venue staff, user, or third party;
- Your Venue Content or other content you submit;
- Your misuse of live-line visibility features;
- Your fraud, misconduct, negligence, or wrongful acts.
Sova reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Sova's defense of such claims.This section does not require you to indemnify Sova for conduct where indemnification is prohibited by applicable law.

24. Termination
You may stop using the Service at any time. Sova may suspend, restrict, deactivate, or terminate your access to the Service at any time, with or without notice, if we believe:
- You violated these Terms;
- You created risk or potential legal exposure for Sova, venues, users, or others;
- Your account was used for fraud, abuse, unauthorized access, or misconduct;
- Your use of the Service could harm the Service, Sova, venues, users, or third parties;
- We are required or permitted to do so by law;
- We discontinue or materially change the Service.
Termination does not relieve you of obligations incurred before termination, including payment obligations, indemnification obligations, and obligations related to disputes, refunds, chargebacks, or misuse of the Service. Sections that by their nature should survive termination will survive, including sections related to intellectual property, payments, refunds, disclaimers, limitation of liability, arbitration, indemnification, data retention, and general legal terms.25. Governing Law
These Terms and any dispute not subject to arbitration will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement in Section 22. Subject to Section 22, you and Sova agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Service.
26. General Legal Terms
A. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and any additional terms presented to you for specific features, constitute the entire agreement between you and Sova regarding the Service.
B. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
C. No Waiver
Sova’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
D. Assignment
You may not assign or transfer these Terms or your rights under them without Sova’s prior written consent. Sova may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.
E. Force Majeure
Sova will not be liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, payment processor outages, app store outages, cloud provider outages, venue system failures, power outages, or other events beyond Sova’s reasonable control.
F. No Partnership
These Terms do not create any partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and Sova.
G. Headings
Headings are for convenience only and do not affect interpretation of these Terms.

Refund Policy

Last Updated: May 2026

This Refund Policy explains when refunds may or may not be available for purchases made through the Sova mobile application, website, or related services. Sova is operated by ZUGO LLC, doing business as Sova (“Sova,” “we,” “us,” or “our”). By making a purchase through Sova, you agree to this Refund Policy, our Terms of Use, and our Privacy Policy. References to Sova include services, accounts, purchases, passes, records, and data previously associated with Zugo.1. Overview
Sova may allow users to purchase digital passes or venue-related offerings, including Line Passes, Cover-related passes, promotional offers, or similar venue-specific products or services.
Unless expressly stated otherwise at the time of purchase, all purchases are final, non-refundable, non-transferable, and non-exchangeable, except where required by applicable law or where Sova determines, in its discretion, that a refund is appropriate under this Refund Policy.
2. Line Passes
A Line Pass may provide access to a participating venue’s designated line, expedited entry lane, or other line-related benefit, as described at the time of purchase. A Line Pass does not guarantee entry into a venue. Final admission decisions are made solely by the venue. Unless expressly stated at checkout, a Line Pass does not include cover, admission fees, drinks, table service, event access, or any other venue product or service.
3. Cover-Related Passes
A Cover-related pass may relate to a venue’s cover charge, admission-related offering, or other venue-specific access product, as described at the time of purchase. A Cover-related pass does not guarantee entry if the venue denies admission for lawful reasons, including but not limited to age restrictions, lack of valid identification, dress code, behavior, safety concerns, capacity limits, intoxication, suspected intoxication, venue policy, event policy, or staff discretion.
4. Entry Is Not Guaranteed
Purchasing a pass through Sova does not guarantee entry into any venue. Venues control their own admission decisions, including decisions related to:
- Age restrictions;
- ID checks;
- Capacity limits;
- Dress code;
- Safety concerns;
- Behavior policies;
- Intoxication or suspected intoxication;
- Event restrictions;
- Venue rules;
- Staff discretion;
- Compliance with law.
Sova does not own, operate, control, or manage the venues listed in the Service and is not responsible for venue admission decisions, venue staff conduct, on-site conditions, wait times, venue policies, or denied entry except to the limited extent expressly stated in this Refund Policy.5. Expiration Policy
Unless otherwise clearly stated at the time of purchase, passes expire automatically at the next 6:00 AM local venue time following the applicable service day or purchase date. Expired passes cannot be reactivated, exchanged, transferred, credited, or refunded, except where required by law or where Sova determines that a Sova system error caused the issue. Users are responsible for reviewing the venue, date, time, pass type, price, expiration, and restrictions before completing a purchase.
6. General Non-Refundable Circumstances
Unless required by law or approved by Sova in its discretion, refunds will generally not be issued for:
- Change of plans;
- Late arrival;
- Failure to redeem a pass before expiration;
- User error;
- Purchase of the wrong venue, date, pass type, or quantity;
- Duplicate purchase caused by user action, unless Sova determines a technical error occurred;
- Long wait times;
- Venue crowd levels;
- Weather conditions;
- Venue atmosphere, music, event experience, or service quality;
- Dissatisfaction with the venue;
- Live-line visibility delays, inaccuracies, outages, or unavailability;
- Denied entry based on age restrictions, lack of valid identification, dress code, behavior, safety concerns, capacity limits, intoxication or suspected intoxication, venue policy, event policy, staff discretion, or legal requirements;
- Failure to comply with venue rules or applicable law;
- A venue’s lawful refusal to admit or serve a user.
7. Potentially Refundable Circumstances
Sova may review refund requests in limited circumstances, including:
A. Sova System Error
A refund may be considered if Sova determines that a material system error occurred, such as:
- A pass was not generated after successful payment;
- A pass was issued for the wrong date, venue, or validity period due to a Sova system error;
- A duplicate charge occurred due to a Sova system error;
- A technical failure prevented access to a valid purchased pass;
- A payment was completed but the purchased pass could not be created due to a Sova system error.
B. Venue Participation or Validation Issue
A refund may be considered if Sova determines that:
- A participating venue incorrectly refused to honor a valid, unexpired pass;
- A venue cancelled participation in the relevant pass program without reasonable notice;
- A venue was unable to validate or redeem a valid pass due to an issue not caused by the user.
C. Legal Requirement
Refunds required by applicable law will be honored.
8. Refund Review Is Not Guaranteed
Submitting a refund request does not guarantee that a refund will be issued. Sova may investigate refund requests by reviewing transaction records, pass records, redemption status, payment processor records, venue information, support communications, and other relevant information. Sova may deny refund requests that appear fraudulent, abusive, incomplete, duplicative, unsupported, inconsistent with this Refund Policy, or inconsistent with the Terms of Use.
9. How to Request a Refund Review
To request review for a potential refund, contact Sova within 24 hours of purchase at:
[email protected]
Your request should include:
- Your full name;
- Email address associated with the purchase;
- Venue name;
- Date and approximate time of purchase;
- Pass type;
- A brief explanation of the issue;
- Screenshot of the pass, receipt, or relevant error message, if available.
Sova will review refund requests within a reasonable timeframe. Additional information may be requested before a decision is made.10. Refund Method and Timing
If a refund is approved, it will generally be issued to the original payment method where possible.
Refund timing may depend on the payment processor, card issuer, bank, payment network, or other third-party provider. Sova does not control the timing of funds once a refund has been submitted to the payment processor. Service fees, processing fees, and other charges may be non-refundable except where required by law or determined otherwise by Sova.
11. Payment Processing
Payments are processed by a third-party payment processor, currently Stripe. Sova does not store full credit card numbers, debit card numbers, CVV codes, or complete payment credentials on its own systems. Refunds, when approved, are processed through the applicable payment processor and are subject to payment processor, bank, and card network timing and rules.
12. Chargebacks and Payment Disputes
If you believe there was an issue with your purchase, you should contact Sova first so we can attempt to resolve the issue. Initiating a chargeback or payment dispute without first contacting Sova may delay resolution and may result in account review, suspension of account privileges, cancellation of passes, removal of access to future purchases, or other action permitted by law and our Terms of Use. Sova may use transaction records, pass records, redemption records, venue records, support communications, and other relevant information to respond to chargebacks or payment disputes.
13. Venue Refunds and Venue Policies
Some venue-specific offerings may be subject to additional venue rules, restrictions, or policies. Venue policies do not override this Refund Policy unless expressly approved by Sova or required by law. Venues are independent third parties and are responsible for their own venue operations, admission decisions, staff conduct, safety decisions, event changes, and on-site policies.
14. Relationship to Terms of Use
This Refund Policy is part of and incorporated into Sova’s Terms of Use. Capitalized terms not defined here have the meanings given in the Terms of Use. If there is a conflict between this Refund Policy and the Terms of Use regarding refunds, this Refund Policy will control for refund-related issues unless prohibited by applicable law.
15. Changes to This Refund Policy
Sova may update this Refund Policy from time to time. If we make changes, we will update the “Last Updated” date above. The Refund Policy in effect at the time of purchase will generally apply to that purchase, unless a later policy is required by law or is more favorable to the user.
